Terms of Service

1. Acceptance of Terms
By accessing or using the Martiqo platform (the "Service"), whether as a buyer, individual seller, or business seller, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.
If you are using the Service on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" include that entity.
2. Platform Role — Technology Intermediary
Martiqo provides a technology platform that connects buyers and sellers. Martiqo does not buy, hold, resell, or take title to any goods or services transacted through the platform.
Martiqo is solely a technology intermediary. The contract of sale for any transaction is formed directly between the buyer and the seller. Martiqo is not a party to that contract.
3. Seller Types: Individuals and Businesses
Martiqo supports two categories of seller, which must be declared accurately at onboarding and cannot be changed retroactively:
Individual sellers
An individual seller is a private person selling under their own legal name. By registering as an individual seller, you confirm that you are acting in a personal capacity and that the identity information you provide is your own. You acknowledge that selling through Martiqo may constitute a taxable trading activity in your jurisdiction, and that it is your sole responsibility to determine whether and how to register for tax and to comply with any applicable laws.
Business sellers
A business seller is a legal entity (including a registered company, sole trader with business registration, partnership, or other recognised commercial entity) selling under its registered name. By registering as a business seller, you confirm that the entity details you provide are accurate and currently valid, that the person completing onboarding has authority to bind the entity, and that the entity holds any licences or registrations required to conduct its business.
Accuracy of seller type
Misrepresenting your seller type — for example, registering as an individual when operating as a business — is a material breach of these Terms and may result in account suspension and referral to the relevant payment processor or regulatory authority.
4. Merchant of Record
For every transaction processed through the platform, the seller (whether individual or business) is the Merchant of Record. This means:
- The seller is the legally responsible party for the sale in the jurisdiction where the buyer is located.
- All payment processing occurs directly on the seller's connected payment account. Martiqo's own accounts do not receive product revenue.
- The seller is solely responsible for issuing any invoices, receipts, or documentation required by law.
- Martiqo does not act as the Merchant of Record under any circumstances and does not assume any seller's tax or legal liabilities.
5. Seller Obligations: Legal, Tax, and Regulatory
By using Martiqo as a seller (whether individual or business), you accept full and exclusive responsibility for:
- Tax compliance. This includes income tax, VAT, GST, sales tax, or any other applicable levy arising from your sales. Martiqo does not calculate, withhold, collect, or remit taxes on your behalf.
- Consumer protection laws. You are responsible for complying with consumer protection regulations applicable in each jurisdiction where you sell, including rights of withdrawal, returns, and warranties where legally required.
- Product legality. You warrant that the goods or services you list are legal to sell in all jurisdictions where you offer them, and that your listings are accurate and not misleading.
- Business registration. Business sellers must ensure their entity is validly registered and in good standing under applicable law. Individual sellers must determine whether their trading activity requires any form of registration.
- Data protection. Where you process personal data of buyers, you are an independent data controller and must comply with all applicable data protection laws (including GDPR where applicable).
Martiqo provides no legal, tax, or financial advice. If you are uncertain about your obligations, you must consult a qualified professional.
6. Platform Service Fee
Martiqo charges sellers a service fee on each transaction. The fee is deducted from the payment at the time of the transaction and does not constitute a share of revenue from the underlying sale. The fee schedule is published in your seller account and is subject to change with reasonable notice. The platform service fee is the same for both individual and business sellers.
Sellers with an active subscription also pay a recurring subscription fee for access to selling features. The subscription does not change or reduce Martiqo's intermediary status.
7. Payments and Payouts
Payment processing is provided by Stripe. By selling on Martiqo, you agree to the Stripe Connected Account Agreement. Martiqo is not responsible for payment failures, delays, or disputes attributable to Stripe or to your own payment account status.
Both individual and business sellers are fully eligible to receive payouts through the platform, subject to completing the identity verification required by Stripe for your seller type and country of operation. Verification requirements are set by Stripe, not by Martiqo, and may vary by jurisdiction.
8. Your Account
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.
9. Acceptable Use
You may not use the Service to:
- List or sell illegal, counterfeit, or prohibited goods or services.
- Harass, defraud, or mislead other users.
- Scrape, crawl, or extract data from the platform in bulk without prior written consent.
- Introduce malware, viruses, or any code intended to damage or gain unauthorised access to systems.
- Circumvent, disable, or interfere with security or access-control features.
10. Intellectual Property
The Martiqo platform, brand, and all platform-level content are owned by or licensed to Martiqo and may not be reproduced, redistributed, or used for commercial purposes without prior written permission.
You retain ownership of the content you upload (product descriptions, images, etc.), but you grant Martiqo a worldwide, royalty-free, non-exclusive licence to display and serve that content for the purpose of operating the platform.
11. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Martiqo does not warrant the accuracy of listings, the fitness of goods or services offered by sellers, or the conduct of any user.
To the maximum extent permitted by applicable law, Martiqo's aggregate liability arising from or related to the Service shall not exceed the platform service fees paid by you in the twelve months preceding the claim. Martiqo is not liable for any indirect, consequential, incidental, or punitive damages.
Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.
12. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated to registered users and the updated date above will be revised. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
